Public procurement and major commercial mandates

Public catering contract with an estimated value of GEL 49 million

A Georgian catering company won a large public tender to supply meals to several state facilities. Orson prepared and reviewed the tender and contract documentation, advised on procurement requirements and supported the company through performance, including supplier and customer agreements, leasing documentation and the allocation of quality, delivery, payment and liability risks.

Result: The contract was signed and the company was supported through award, contracting and day-to-day performance of one of its largest public contracts.

GEL 500,000 bid security returned and blacklisting withdrawn

A tender commission alleged that a catering company had breached its affidavit and good-faith obligations, withheld its GEL 500,000 bid security and applied to place it on the public procurement blacklist. Orson prepared the legal and evidential response and represented the company before the procurement dispute resolution body.

Result: The contested decision was annulled, the full bid security was returned and the blacklisting application was withdrawn, so the company kept its right to bid for public contracts.

A year of ongoing legal support for a major industrial manufacturer

One of Georgia's largest industrial manufacturers needed additional legal capacity alongside its in-house legal department. For a year, Orson provided ongoing legal support as an extension of the in-house team, combining remote work with regular on-site attendance by an Orson lawyer. The work covered commercial agreements, employment documentation, day-to-day legal advice, procedural documents and court representation.

Result: Continuous, coordinated support across the client's commercial, employment and litigation needs. The client confirmed the scope and quality of the work in a written recommendation.

Disputes, enforcement and recovery

Foreign arbitral award recognised and recovered in full

A foreign manufacturer held an international arbitration award of about USD 150,000 against a Georgian company that refused to pay. Orson applied to the Supreme Court of Georgia for recognition and enforcement, prepared the legal arguments and coordinated certified translations and notarisation, working with counsel abroad. After recognition, Orson represented the creditor before the National Bureau of Enforcement.

Result: The award was recovered in full.

Full damages restored on appeal after six vehicles were destroyed in transit

Six of a client's vehicles were destroyed by fire while being transported by a carrier, which refused to pay compensation. Orson brought a damages claim and secured an interim attachment over the carrier's property to protect the client pending judgment. When the first-instance court reduced the damages, Orson appealed.

Result: The Court of Appeal reversed the reduction and awarded about GEL 96,700, covering the vehicles, legal costs and transport costs.

State property claim against a retailer reduced by about GEL 100,000

A state agency claimed about GEL 120,000 from the operator of an international clothing brand's store for years of alleged use of state property, calculated by reference to market rent. Orson represented the company at first instance and on appeal, examined witnesses and challenged both the evidence and the calculation.

Result: The company's liability was reduced by about GEL 100,000.

Court judgment securing GEL 92,428.61 in unpaid catering fees

A clinic stopped paying a catering company for three months of prepared-meal deliveries under its supply contracts, leaving GEL 92,428.61 unpaid. After pre-litigation demands failed, Orson prepared the claim, gathered evidence of performance and of the debt, and represented the company in court.

Result: The court granted the claim in full, ordering the clinic to pay GEL 92,428.61.

Court judgment ordering a refund of advance payments for undelivered vehicles

A car dealer accepted advance payments for two premium vehicles, did not deliver them and sold them to third parties. Orson reviewed the purchase agreements and payment evidence, sent a pre-litigation demand and, when the matter was not resolved, brought a claim for return of the advance payment.

Result: The court ordered the dealer to pay the client GEL 62,707 plus costs.

Corporate and M&A

GEL 2 million share capital record corrected without a capital reduction

The public registry treated a joint-stock company's request to fix a discrepancy in its recorded share capital of GEL 2 million as a capital reduction, which would have required a new capital contribution. Orson analysed the corporate records and showed that the issue was a registration error, not a decision to reduce capital.

Result: The registry corrected the entry without applying the capital reduction procedure, and no additional contribution was needed.

Call option and change of control in a construction company

A construction company needed to transfer a shareholding and change its management under an earlier call-option arrangement that contained inconsistencies. Orson prepared a replacement call-option agreement, the notice to the existing shareholder, the share purchase agreement, a new charter, founders' agreement and shareholder resolution, and moved governing law and dispute resolution to Georgian law and international arbitration in Georgia.

Result: A consistent set of documents allowing the option, share transfer and governance changes to be implemented and registered together.

Conversion of a joint-stock company into an LLC

An agricultural machinery business wanted to continue operating as a limited liability company. Orson prepared the reorganisation plan, shareholder approvals and new constitutional documents, managed creditor notifications, reviewed the impact on assets, contracts and licences, and represented the company before the public registry.

Result: The conversion was registered and the business continued without interruption under its new legal form.

Continuing advice to a foreign-invested construction group

Since 2023 Orson has supported a foreign-invested group developing residential and commercial projects. The work includes corporate documentation and tailored charters, contributions of real estate to capital, property acquisitions and disposals, construction, supplier and lease agreements, and sale agreements for apartments and commercial units, including a USD 500,000 property acquisition from a Georgian bank.

Result: Continuous legal support from the group's first project, including registration of buyers' ownership, to its current developments.

Liquidation of two Georgian entities for a foreign director

A foreign national needed to close a Georgian non-profit organisation and a related limited liability company. Orson prepared the corporate decisions and powers of attorney, put both entities' documentation in order before liquidation, handled the Revenue Service and registry procedures, coordinated the director and partners and advised on reporting obligations during liquidation.

Result: Both entities were fully liquidated.

Liquidation of an import company completed

An import company needed to close its business in an orderly way. Orson prepared the corporate decisions and creditor notices, coordinated the final liquidation balance sheet, handled the termination of commercial contracts and employment, reviewed remaining tax and other liabilities and represented the company before the Revenue Service and the public registry.

Result: The liquidation was completed and the company's registration was cancelled.

Governance and official recognition for a national sports federation

A national sports federation needed its governance and rules brought in line with legal requirements. Orson prepared and revised its charter, founding and membership documents, competition rules and league regulations, coordinated charter amendments with the Ministry of Sport and the public registry, and advised on sponsorship agreements.

Result: The work contributed to the sport obtaining official recognition in Georgia, and the federation continues to rely on Orson for governance and commercial support.

Compliance documentation for ISO 9001:2015 certification

A Georgian importer and distributor of electronic equipment was preparing for ISO 9001:2015 certification. Orson reviewed its corporate and commercial documentation, advised on personal data processing and prepared internal policies and procedures, aligning responsibilities with the company's business processes.

Result: The client's legal and compliance documentation supported its certification preparations. The certification assessment itself remained with the independent certification body.

Foreign companies entering Georgia

Branch registration and bank accounts for an engineering company from East Asia

An engineering company from East Asia needed a Georgian branch for a government-related project. Orson prepared board resolutions and powers of attorney, resolved authentication issues with the parent company's documents, coordinated apostille, translation and notarisation, registered the branch and then coordinated the bank's KYC and beneficial ownership review.

Result: The branch was registered and its bank accounts were active within about three months of instruction.

Georgian subsidiary for a European food company

A European infant-nutrition company needed a wholly owned subsidiary in Georgia. Orson prepared the constituent documents, coordinated powers of attorney and the apostille, translation and notarisation of the parent company's documents, registered the company and advised on premises and banking documentation, working with the group's teams abroad.

Result: The subsidiary was incorporated and the group established its Georgian presence. The group later returned to Orson for further advice.

Banking compliance support for an international trading company

A Georgian trading company's cross-border payments came under review by its bank. Orson explained the chain of invoices, air waybills, suppliers, transport agents and the final recipient of the goods across several countries, clarified how transport responsibilities were allocated under EXW terms, and assembled certificates of origin, conformity certificates and packing lists.

Result: The transactions were presented to the bank as a coherent, documented commercial chain in response to its compliance review.

Real estate, investment and residence

Hotel apartment dispute resolved out of court for a foreign investor

A foreign investor owning two hotel apartments questioned the developer's and hotel operator's financial reporting, revenue and expense allocations and tax deductions. Orson reviewed the purchase, management and service agreements, prepared complaints and legal notices, requested itemised financial information and coordinated an independent valuation.

Result: The management and service arrangements were terminated and restructured, and the client regained direct control of his property, without litigation.

Apartment sale, bank account and payment completed in one day

A foreign client who could spend only one day in Tbilisi needed to sell his apartment and receive the proceeds. Orson prepared the documents in advance, opened his Georgian bank account on the day, completed the sale and the ownership registration, and made sure the purchase price reached the new account the same day.

Result: The whole transaction was completed during a single visit, and the client later transferred the funds abroad without difficulty.

Property investment and a five-year residence permit

A foreign investor buying a new-build apartment wanted better protection than the developer's standard documents offered, and a residence permit. Orson negotiated amendments to the purchase agreement, including common areas, amenities and payment dates, and reviewed the renovation, furniture supply and service agreements, preparing amendment protocols.

Result: The developer accepted most of the proposed amendments, the agreements were signed, and the client obtained a five-year residence permit.
